Board of Directors Meeting
February 10, 2023

Call to Order:
Ron Scott called the meeting to order.

Prayer:
Stan Doyle opened the meeting with prayer.

Directors present:
Ron Scott-President, Stan Doyle -Vice President, Donna McClarin-Treasurer, Nancy Burke-Secretary, Jean Harrison, Paul Benoit, Stuart Farmer, David West and Billy Williams

Directors absent:
None

Quorum:
A Quorum was declared by Nancy Burke.

Adoption/Revisions of the Agenda:
Ron Scott added Fire Department information to his President’s Report. Jean Harrison made a motion to accept the revised agenda, Paul Benoit seconded, motion carried.

Reading of the Minutes:
Nancy Burke read the January minutes. There were two corrections. $22,500 was budgeted for taxes, the total tax plus extension fee was $15,296. The AARC guidelines are for new construction, not new members. They will be included in the new member packets. Paul Benoit moved to accept the corrected minutes; Billy Williams seconded; motion carried.

Treasurer’s Report:
Donna McClarin gave the report from January. Total revenue for the month was $8,403.56, total expense was $36, 869.78. Stan Doyle made a motion to accept the report as read, David West seconded; motion carried.

President’s Report:
Ron Scott said the Valley came through the recent ice storm with minimal serious damage. He praised BEA for their restoration of power, only two properties had wiring ripped from their homes. The Maintenance Department, Men’s Club members and other volunteers worked on clearing the main roads. The lodge was opened as a warming center for those without power but it was not used. We are working on a better way to communicate about this in the future. The Board is also looking into an emergency generator to power the lodge in case of a widespread outage.
He remined everyone that Lona is stepping down as President of the volunteer fire department May 31. The department serves the surrounding area as well as GVL. Six new directors are needed. Loan Oaks, as the largest commercial customer, will try to provide at least one candidate. Anyone interested in serving can contact Tom or Lona for more information. The department recently received a grant of $41,000 to purchase self-contained breathing equipment and thermal imaging equipment. Keith Clanton was instrumental in getting this grant.

Old Business:
Ron reported that Marianne Dunavant from Blue Oval was here for a three hour visit with some of the Board recently. They talked about what Grand Valley had to offer and what Blue Oval could mean for us and for Hardeman County. She is visiting different areas, talking about job opportunities when the plant opens, and encouraging people to continue with their education. There will be on-site training for new employees. The possibility of carbon offset credits was also discussed. They have already made a deal with Lone Oaks for $16 million.
The trailer storage area project was discussed. Billy Williams said suitable land has been identified and initial planning done. Before it goes further there need to be firm commitments from enough people to make the project financially feasible. So far there are about 13 people interested; there need to be about 20. Costs are still being debated and will depend partly on the number of users. This area was clarified as being a place for people to store their boats and other trailers when there is not enough space in their own yards for them.

New Business:
Donna McClarin presented the budget for the next fiscal year. Costs for the POA have increased just as costs for individuals have. As a reminder, there were no increases last year. In order to meet projected expenses for the coming year it is necessary to raise dues and water fees. Dues will increase $1.70-$12 per month depending on the number of lots owned. Water will increase $8.40 plus tax per month. Other fees-boat, car and ATV/UTV stickers and marina rental will also be increased. $50,000 for roads and $30,000 for water will continue to be transferred annually to savings to prepare for future needs.
We have applied for a $600,000 grant to install water meters at each home, which will allow us to determine water loss. We have received a 95% grant for digital mapping of our water lines. According to state guidelines these two things must be done before we can apply for other grants. Most of the GVL water lines are 50 years old and we must begin planning and budgeting for needed repairs and replacements.
After time for questions and discussion, each increase was presented to the Board for approval. David West made a motion to approve the 5% increase in dues, Stan Doyle seconded. On a roll call vote, each member voted yes. Billy Williams made a motion to approve the $8.40 increase in the water fee, Stuart Farmer seconded. Again a roll call vote was unanimous in approval.

Architectural Review Committee:
Stuart Farmer said there was a request from the Huffmans to replace and extend a fence and add a ramp to their porch. Neither of these requests require a variance and they were approved.
Another request came from Mr. Upchurch to build a path from his property through GVL property to the lake, seawall repair and installation of a floating dock. This request was denied.

Staff reports:
Maintenance: Tom reported that repairs to the F450 are almost completed. They have been working to clear fallen trees from the main roads

Security Report:
Nothing to report

Club Reports:
Ladies: Nancy Burke said they set up for Debbi Dolan’s memorial service, prepared and served a meal afterwards. They will meet in the morning at 10:30.
Men’s: Paul Benoit stated they will be meeting tomorrow morning for biscuits and gravy then will work on tree removal.

Adjournment: Stuart Farmer made a motion to adjourn the meeting, David West seconded; meeting adjourned at 8:57
